1. Entering into an agreement and change of terms

1.1. These General Terms and Conditions of Sale and Delivery apply to all offers, orders
or agreements entered into between BLOOMING Copenhagen ApS (‘Blooming’) and you
as a Customer. Other terms and conditions apply only if Blooming has expressly
accepted them.

1.2. You can trade and enter into agreements with Blooming through our website. An
agreement between you and Blooming is made once you have accepted an offer from
Blooming.

1.3. It is a condition for entering into an agreement with Blooming that you have read and
accepted these Terms and Conditions of Sale and Delivery.

2. Price

2.1. The price of a subscription or a single delivery is shown when you place an order, or
if you amend your subscription.

2.2. Blooming reserves the right to change the prices of goods and services.

2.3. Blooming specifies the validity period of gift cards, discount vouchers etc. when they
are issued.

2.4. Discounts and special offers are subject to availability and while stocks last.

3. Payment

3.1. You can pay for products and services using the payment options offered by
Blooming. You can find a comprehensive list of payment options on the Blooming
website.

3.2. You make the first payment immediately after subscribing to Blooming and entered
into an agreement for a single purchase or subscription. You then make future payments
(i.e. after the first payment) following delivery.

3.3. The amount that Blooming can charge to your account or debit card is equal to the
amount you paid for the product during the online payment process. If you have chosen a
subscription for regular delivery of flowers or other regular services, you pay the price per single delivery.

3.4. Blooming will not withdraw the money from your account or credit/debit card until a
delivery has been sent to you, with the exception of a first order – see Point 4.2.

3.5. Using the Blooming payment link sent for direct debit from Blooming to Nets.

3.6. In the event that there is no cover for the means of payment you have specified, you
will receive a non-payment reminder, informing you that the subscription will be
terminated if the payment is not received. The reminder will allow a 10-day payment
deadline.

3.7. If no payment is made within the time limit specified in the reminder, Blooming is
entitled to terminate the agreement.

3.8. In the event of missing/delayed payment, Blooming also reserves the right to
withhold ordered goods or to exercise the right of withdrawal for goods already shipped.

3.9. Termination of the agreement, withholding of ordered goods, or the exercise of right
of withdrawal do not affect Blooming’s right to claim damages, assert other breach of
authority, including termination of the agreement, or to recover arrears and recover the
associated collection costs through Nets.

4. Security of purchase and payment

4.1. To protect your card information, when entering card information, you will be
redirected to a payment page provided by QuickPay, which is certified to handle payment
data. QuickPay ensures that all information is encrypted.

5. Termination or change of subscription

5.1. You can terminate, change or pause your subscription at any time. You can do this
on Blooming’s website.

5.2. The deadline for changes to, or termination of your subscription and for pausing it
depends on the terms of your subscription. But, generally speaking, the deadline is no
later than Sunday at 11.59 pm for a delivery in the following week.

5.3. In the event that you do not terminate, change or pause on time, you will be charged
the price for that delivery and the delivery will be made.

5.4. The subscription continues in accordance with the terms on which it was entered into
until changed, terminated or paused in accordance with the above provisions

6. Delivery

6.1. Delivery is carried out individually if you have made a single order, or on a regular
basis on the basis of the time interval stated in your subscription.

6.2. Blooming delivers in selected postcodes and we check your address when you order
to be sure that you live in an area to which we deliver.

6.3. Currently, Blooming only delivers to customers whose address has one of the
postcodes listed on the website when you take out a subscription.

6.4. Delivery is only possible on the days specified by Blooming, and which you can
choose from when ordering.

6.5. Blooming delivers to the address you specified in your customer account on our
website as the delivery address. If you want to change your delivery address, you must
do so no later than Sunday at 11.59 pm for a delivery in the following week. If you do not
change the delivery address on time, delivery will be made to the previously specified
address.

6.6. When entering into a flower delivery agreement, you must choose a place of delivery.

6.7. When delivery takes place, Blooming will inform you of this via the media of your
choice.

6.8. If the personal handover of the products is not possible, Blooming (depending on the
delivery area) can offer to deliver the products to a pick-up package store or to a
neighbour, or to leave them outside the door of the house.

6.9. If delivery is impossible, you will be charged for the delivery in question.

7. Complaints

7.1. If you experience unexpected errors or defects in your order or delivery, please call or
email our customer service as soon as possible and within the time limit specified in the
Danish Sale of Goods Act, so that we can rectify the error.

7.2. We grant the general right of complaint in accordance with the regulations of the
Danish Sale of Goods Act.

8. Right of Cancellation

8.1. There is no right of cancellation when purchasing or ordering flowers and plants
individually or via subscription, due to the impossibility of delivering flowers and plants
back in the same condition in which they were delivered.

8.2. However, for all goods other than flowers and plants, there is a right of cancellation
under the Danish Consumer Protection Act: i.e. 14 days’ right of cancellation from the
date on which the agreement was entered into.

8.3. To exercise the right of cancellation, you must notify Blooming (see contact
information below) of your decision to cancel the agreement in an unambiguous
statement (e.g. by emailing us or calling us on (+45) 62 11 72). Furthermore, the item must
be returned in the same condition in which you received it, and in unbroken packaging.

8.4. To meet the cancellation deadline, it is sufficient to send the communication
concerning the exercise of the right of cancellation before the cancellation period has
expired.

8.5. By invoking the Right of Cancellation, you are obliged to pay the shipping costs in
connection with the return of the item and any reasonable costs in accordance with the
Danish Consumer Protection Act Section 25 (1) & (2).

8.6. Right of withdrawal applies only if you are a consumer as defined in the Danish
Consumer Protection Act.
